Reliance Energy Limited made an Issue of
8,680,550 GDRs in February, 1996. Each GDR represents 3 Equity Shares and
correspondingly the Company allotted 2,60,41,650 Equity Shares to the
Depositary for GDR holders. As at 1st, January, 2004, 148,82,186 Equity
Shares continued to be held by the GDR holders.
The GDRs are listed on the London Stock Exchange.
Two- way Fungibility of GDRs
The company, in terms of the circular No. 21 dated 13th
Feburary 2002, issued by the Reserve Bank of India for two-way fungibility
of Global Depository Receipts (GDR's), has entered into an agreement with
the Depository for GDR holders, the Bank of New York, to allow two -way
fungibility of Global Depository Receipts (GDR's) against equity shares of
the company.
Foreign Currency Convertible Bonds (FCCBs)
The Company made an issue of US $ 120 million 0.5 per
cent Foreign Currency Convertible Bonds (FCCBs) due on September 25, 2007.
As per the offering circular, each Bondholder has a right to convert the
Bonds at any time after December 25, 2002 into GDRs. The GDRs to be issued
upon conversion of the Bonds will be issued pursuant to Deposit Agreement
and will be fungible with the Existing GDRs.
The FCCBs are listed on the Luxembourg Stock Exchange.
